1. Definitions
For purposes of these Terms and Conditions:
- “Platform” refers to the Venue Wise website and any associated mobile applications or digital interfaces.
- “User”, “you”, or “your” refers to any individual or entity accessing or using the Platform, including Bookers and Venues.
- “Booker” means any person using the Platform to search, inquire about, or request venue-related services.
- “Venue” means any venue operator, manager, or authorized representative submitting or managing a listing.
- “Content” means any text, images, data, or materials uploaded or transmitted through the Platform.
2. Acceptance of Terms
By accessing, browsing, or using the Venue Wise website or Platform, you agree to be bound by these Terms and Conditions. These Terms apply to all users, including individuals searching for venues, venue representatives claiming or submitting listings, and any visitors browsing the site.
3. Purpose and Scope
Venue Wise operates a digital marketplace for venue discovery, enabling users to search and compare venues, submit inquiries or booking requests, receive guidance from Venue Wise Advisors, and claim or request addition of venue listings. Venue Wise does not own, operate, or manage venues listed on the Platform and acts solely as a technology and communication facilitator.
4. Eligibility and Authority
By using the Platform, you confirm that you are at least 18 years old and, if acting on behalf of an organization or venue, you are authorized to bind that entity. Venue Wise may request verification of identity or authority and may suspend access if such authority cannot be confirmed.
5. Booker Inquiries and Responsibilities
Bookers submit event inquiries, requests for quotations, or contact forms through the Platform (each an “Inquiry”). By submitting an Inquiry, you agree to the following:
- Accuracy. All information you provide, including contact details, event type, dates, guest count, and budget, must be accurate and truthful.
- Consent to Share. You authorize Venue Wise to share your Inquiry details with relevant venues, partners, or advisors so they can respond to your request.
- No Misuse. You will not submit false, speculative, or duplicate Inquiries, use the Platform to harvest data or solicit venues for unrelated commercial purposes, or misrepresent your identity or event requirements.
- Communication. You may be contacted by Venue Wise or the respective venue(s) to discuss your Inquiry and you consent to such communications.
- Responsibility. Venue Wise is not responsible for the availability, response time, pricing, or service quality of any venue or third party engaged through the Platform.
- Lead Validity. Inquiries are intended for genuine event planning only. Repeated misuse or spamming may result in suspension of access.
6. Venue Advisory
Venue Wise may, at its discretion, provide advisory support through its internal Venue Advisors or concierge team. Advisors may recommend venues that fit described event needs, operate independently, and are not agents, brokers, or fiduciaries of either party. Advisors do not guarantee specific outcomes, bookings, or pricing.
7. Venue Listings and Claims
Venue representatives may claim ownership of an existing listing or submit a new venue to be added to the Platform. By submitting or claiming a listing, you represent and warrant that you are authorized to act for the venue, all content provided is accurate and lawful, and you grant Venue Wise a worldwide, royalty-free, transferable, and sublicensable licence to host, reproduce, and display such content on the Platform and in promotional materials. Venue Wise may edit, verify, or remove any listing that is inaccurate, outdated, or violates these Terms.
8. Non-Verified Listings
Venue Wise may publish venue listings compiled from publicly available data (“Non-Verified Listings”) solely for user discovery. Venue Wise makes no representation as to their accuracy. Owners or authorized representatives may request correction, verification, or removal by contacting [email protected]. Venue Wise will review and respond within seven (7) business days.
9. Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not access, monitor, or copy content using automated means; post or transmit unlawful, defamatory, obscene, or discriminatory material; engage in scraping, phishing, or security testing; interfere with site operation, hosting, or data integrity; or resell leads, listings, or data obtained from the Platform. Violations may result in suspension or permanent termination of access.
10. Content Modification, Access Suspension, and Termination
Venue Wise may, in its sole discretion, modify, edit, or remove any content that violates these Terms or applicable law; suspend or terminate a user’s access to the Platform without prior notice in cases of misuse, fraud, or non-compliance; and retain or delete related user data as permitted by law. Venue Wise will make reasonable efforts to notify users of such action where appropriate.
11. Content Ownership and Intellectual Property
All intellectual property rights in the Platform, including text, images, trademarks, and software, are owned or licensed by Venue Wise. You may not use Venue Wise trademarks or reproduce Platform content without prior written consent. When uploading or submitting content, you grant Venue Wise a worldwide, non-exclusive, royalty-free licence to host, display, and use your content solely for the purpose of promoting your venue through the Platform and associated marketing channels.
12. Cookies and Tracking Technologies
Venue Wise uses cookies and similar tracking technologies to enhance user experience, analyze site traffic, and personalize content. By using the Platform, you consent to the use of such technologies as described in our Privacy Policy. You may adjust browser settings to limit or block cookies; however, some features may not function properly as a result.
13. Privacy and Data Protection
Venue Wise processes personal data in accordance with UAE Federal Decree-Law No. 45 of 2021 on Personal Data Protection (PDPL) and, where applicable, the EU General Data Protection Regulation (GDPR). We process data lawfully, fairly, and transparently for legitimate business purposes such as inquiry routing, communication, analytics, and service improvement. Venue Wise maintains appropriate safeguards to protect data and will notify affected users without undue delay in the event of a data breach that materially impacts their information.
14. Third-Party Services
Venue Wise may use third-party services for communications, analytics, or hosting, including email, SMS, or WhatsApp gateways. Venue Wise is not responsible for delays, interruptions, or failures caused by third-party systems beyond its reasonable control.
15. Disclaimers
The Platform and its content are provided on an “as is” and “as available” basis. Venue Wise disclaims all warranties, express or implied, including merchantability, fitness for purpose, and non-infringement. Venue Wise does not guarantee uninterrupted service, data accuracy, or any booking outcome between Bookers and Venues.
16. Indemnification
You agree to indemnify, defend, and hold harmless Venue Wise, its affiliates, officers, employees, and agents from and against any and all claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your misuse of the Platform or content, or your violation of any applicable law or third-party rights.
17. Limitation of Liability
To the fullest extent permitted by law, Venue Wise shall not be liable for any indirect, consequential, incidental, or punitive damages arising from the use of the Platform. This limitation does not apply to liability arising from wilful misconduct, gross negligence, or statutory obligations that cannot be excluded.
18. Changes to Terms
Venue Wise may update these Terms from time to time. Your continued use of the Platform after any changes become effective constitutes acceptance of the revised Terms.
19. Force Majeure
Venue Wise is not liable for any delay or failure in performance caused by circumstances beyond its reasonable control, including natural disasters, acts of government, internet outages, wars, or strikes. Performance is suspended for the duration of such events.
20. Governing Law and Dispute Resolution
These Terms are governed by the laws of the United Arab Emirates. Any dispute arising under or in connection with these Terms shall be finally settled by arbitration under the Dubai International Arbitration Centre (DIAC) Rules. The seat of arbitration is Dubai, proceedings will be conducted in English, and either party may seek interim relief from competent UAE courts.
21. Notices
All notices or requests under these Terms shall be sent via email to Venue Wise at [email protected] and to the User at the contact details provided at the time of submission or registration. Notices are deemed received upon acknowledgment of delivery.
22. Severability and Entire Agreement
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. These Terms constitute the entire agreement between you and Venue Wise concerning use of the Platform and supersede all prior understandings or agreements.
